CONNECTA™ TERMS OF USE

These Terms of Use (“Terms”) govern your access to and use of the Connecta mobile application (“App”). By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must refrain from using the App.

1. THE SERVICE

Connecta™ is a digital platform designed to facilitate connections between users who wish to request, offer, buy, sell, or provide goods, services, and errands within their vicinity.

The App functions strictly as an intermediary platform that enables user interaction. Connecta does not own, provide, control, or deliver any of the goods or services listed, requested, or exchanged on the platform.

2. ACCEPTANCE OF TERMS

By registering on Connecta™, you acknowledge that you have read, understood, and agreed to abide by these Terms of Use, as well as our Privacy Policy and other related policies.

3. CHANGES TO TERMS OF USE

We reserve the right, at our sole discretion, to change, update or modify portions of these Terms of Use at any time. Notifications will either be posted on this platform and the date will be indicated at the top of this page, or we notify you, either through the platforms Client interface, in an email notification or through other reasonable means and as required by applicable law.

Modifications will become effective on the day they are posted unless otherwise stated.

4. ELIGIBILITY & REGISTRATION

Use of the App is limited to individuals who are at least eighteen (18) years of age and who possess the legal capacity to enter into binding agreements under applicable law.

By using the App, you represent and warrant that all information you have provided is accurate, current, and complete. Users are required to create and maintain an account to access certain features of the App. You are solely responsible for safeguarding your login credentials and for all activities carried out under your account.

3. USER CONDUCT & SAFETY

A. Revocation / Suspension of Right to Use the Connecta™ App

i. Connecta™ reserves the right, at its sole discretion, to suspend or terminate a user’s account, with or without prior notice, where the user:

  • engages in harassment or abusive conduct;
  • provides false, misleading, or fraudulent information;
  • is involved in suspected illegal or criminal activities; or
  • violates these Terms or any applicable policies of Connecta™.

ii. Where appropriate, a suspended user may be notified of the reason for the suspension and, at Connecta™’s discretion, may be given an opportunity to appeal or remedy the issue.

iii. If access is restored, the user may be required to follow specific instructions provided by Connecta™’s support team before the account can be reactivated.

B. Your Registration Obligations:

You have the obligation to provide and maintain true, accurate, current and complete information about yourself, Company, Customers, representative, officers and assigns.

Users acknowledge that all engagements are undertaken at their own risk.

Connecta reserves the right to suspend or terminate access to the App at any time, with or without notice, for any reason it deems appropriate.

This includes, but is not limited to, financial losses, lost profits, business interruption, fraud, misrepresentation, failed or incomplete transactions, personal injury, property damage, or any indirect, incidental, or consequential damages. The App is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.

All vendors, service providers, and errand runners on Connecta operate as independent users and are not employees, agents, or representatives of Connecta. Connecta does not supervise, direct, or control user conduct and does not guarantee the quality or outcome of any service provided. Each user remains solely responsible for their actions and obligations.

The App allows users to post requests and submit offers. While Connecta does not guarantee that any request will receive responses, that offers will be accepted, or that transactions will be successfully concluded, we provide tools and features designed to enhance visibility, improve matching, and support successful engagements between users.

C. Maintaining password and User Account Security:

You may never use another's account, and you may not provide another person with your name and password to access your account.

You are fully responsible for any and all activities that occur under account, and it is your responsibility to ensure that your password remains confidential and secure. You agree to:

  • Immediately notify Connecta of any unauthorized use of your password or account or any other breach of security, and
  • ensure that you exit from your account at the end of each use.

Connecta will not be liable for any loss or damage arising from your failure to comply with this Section.

All interactions, communications, negotiations, and transactions conducted through Connecta occur strictly between users. Connecta is not a party to any agreement or transaction between users and does not guarantee the quality, safety, legality, reliability, or availability of any goods or services. Users acknowledge that all engagements are undertaken at their own risk.

D. Changes to Service:

Connecta reserves the right to modify or discontinue, temporarily or permanently, any service or application (or any part thereof) with or without notice.

Further to this, Connecta will not be liable to you or to any third party for any modification, suspension or discontinuance of the Services offered on its platform.

4. FEES & PAYMENTS

Payments for goods and services may be conducted either within or outside the App environment. Connecta bears no responsibility for payment processing, pricing agreements, failed transactions, refunds, or disputes arising between users.

Users agree to use the App only for lawful purposes and must not post or transmit false, misleading, or fraudulent content, engage in unlawful activities, harass or abuse other users, or offer prohibited goods or services. Connecta reserves the right to remove content or restrict access to the App at its discretion, without notice.

Each user bears full responsibility for verifying the identity, credibility, and reliability of other users, inspecting goods, confirming service quality, and ensuring their personal safety during any interaction initiated through the App.

Any ratings, reviews, or verification indicators made available on the App are provided solely for informational purposes and do not constitute endorsements, guarantees, or warranties by Connecta.

5. INTELLECTUAL PROPERTY

By using the App, you consent to the collection and use of your location data for the purpose of improving service relevance and connecting you with nearby users, in accordance with applicable data protection laws.

All intellectual property rights in the App, including its design, content, and underlying technology, are owned by Connecta. Users are prohibited from reproducing, distributing, modifying, or exploiting any part of the App without prior written authorization.

Personal data provided through the App is processed in accordance with applicable Nigerian data protection laws, including the Nigeria Data Protection Regulation (NDPR). Users are encouraged to review the Privacy Policy for further details on data handling practices.

6. LIMITATION OF LIABILITY & INDEMNITY

You agree to indemnify, defend, and hold harmless Connecta from and against any claims, liabilities, damages, losses, or expenses arising out of your use of the App, your violation of these Terms, or your interactions with other users.

All interactions, communications, negotiations, and transactions conducted through Connecta occur strictly between users. Connecta is not a party to any agreement or transaction between users and does not guarantee the quality, safety, legality, reliability, or availability of any goods or services.

7. GOVERNING LAW

This Agreement shall be governed in accordance with the laws of Nigeria without regard to its conflicts of laws principles.

8. DISPUTE RESOLUTION

In the event that any dispute, controversy, proceeding, or claim arises out of or in connection with or relating to this Agreement, Connecta shall use its best endeavor to resolve such disputes, where it however remains unresolved, it shall be subject to arbitration in line with the Arbitration and Conciliation Act Cap A18 Laws of the Federation of Nigeria 2004 (as amended) ("the Act") or any statutory re-enactment or modification thereof.

The arbitration will be conducted in Lagos, Nigeria except as otherwise agreed by parties. Any judgment on the award rendered by the Arbitrator shall be written and shall be binding on the parties and may be entered as a judgment in any Court of Competent Jurisdiction. This however does not preclude Connecta from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, dilution, or violation of our data security, intellectual property rights, or other proprietary rights.

The cost of arbitration filing fees and appointing and arbitrator is to be agreed upon and borne by both parties.

You further agree that any proceedings to resolve any disputes shall be done solely on an individual basis and that You will not seek to have any dispute heard as a class action, a representative action, a collective action, a private attorney-general action, or in any proceeding in which You act or propose to act in a representative capacity.

You also agree that no proceeding will be joined, consolidated, or combined with another proceeding without the prior written consent of Connecta and all parties to any such proceeding.

9. GENERAL PROVISIONS

Entire provision

These Terms of Use alongside the privacy policy and other policies constitute the entire agreement between you and Connecta and governs access to and use of anything offered by Connecta, including the Platform, Connecta app, third party usage and any Content or any prior agreements between you and Connecta with respect to the Service. You also may be subject to additional terms and conditions that may apply when you use affiliate or third-party services, third party content or third-party software.

Severability

If any provision of this Agreement is deemed unlawful, void, or unenforceable by a court of law exercising proper jurisdiction, that provision shall be deemed severed from the remaining provisions and shall not affect their validity and enforceability.

Waiver

Connecta's failure to institute or enforce legal action with respect to any provision in the Terms of use does not amount to a waiver of such right or provision.

Statute Bar

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred.

Circumstances beyond control

Under no circumstances shall Connecta be held liable for any delay or failure in performance resulting directly or indirectly from an event beyond its reasonable control.

Rights to assign

You may not assign this Terms of Use without the prior written consent of Connecta. Connecta however reserves the right to assign or transfer this Terms of Use, in whole or in part, without restriction.
